STANDARD TERMS & CONDITIONS

- TRAXX shall perform or shall cause to be performed all Services in accordance with standard industry practice and represents and warrants that it has and shall furnish all required skills, labour, supervision, equipment materials and supplies as may be required by TRAXX from time to time to perform the Services, unless otherwise expressly agreed to by the Customer in writing.
- TRAXX shall perform or shall cause to be performed all Services in strict conformance with any statutes, governmental regulations, or other provisions of applicable law.
- TRAXX shall obtain and maintain all certifications, authorizations, permits, and licences required to authorize it to operate motorcoaches and to perform the Services.
- In the case of emergencies or accidents, TRAXX shall notify the designated contact person of the Customer at the earliest possible opportunity.
- Subject to the agreed motorcoach in Schedule A, motorcoaches are subject to availability upon confirmation of booking.
- A replacement motorcoach shall be provided in the event of mechanical issues, though the Customer acknowledges that a replacement motorcoach may not be the same make and model as that originally provided and delayed.
- TRAXX reserves the right to subcontract services as needed.
2. Itinerary:
The prices quoted by TRAXX are based on the itinerary provided by the Customer to TRAXX. TRAXX will make reasonable efforts to accommodate changes to the itinerary or such change as may be reasonably accommodated, however additional charges may apply in the event the itinerary change results in a change in miles travelled or hours to the charter. Unless documented otherwise in Schedule A, a final itinerary shall be provided by the Customer no later than 14 days prior to the departure date. TRAXX will endeavor to but is not required to accommodate changes made to this final itinerary within 5 days of departure and any such changes may result in additional charges.
3. Drivers
TRAXX agrees to provide a competent, trustworthy, properly licensed, and respectful driver. All drivers shall:
- Have successfully passed their criminal background check;
- Have a valid driver’s license;
- Have been trained and have experience to operate the motorcoach in which the Services are being provided;
- Operate the motorcoach at the speed limits prescribed by law and compatible with the safe operation of the motorcoach;
- Be in uniform in the presence of passengers;
- Assist all passengers on and off the motorcoach at all stops and treat all passengers, Customers, and other personnel with courtesy;
- Keep the motorcoach clean with the floors and lavatories being cleaned daily and the lavatory tank emptied as often as practical at permissible waste stations; and
- Not allow unauthorized persons on the motorcoach at any time.
- Unless arranged prior to the service, will not be expected to provide commentary during the operations of the bus.
Drivers are carefully selected and have strict instructions to drive at a speed within the limits prescribed by law and compatible with the safe operation of the motorcoach. All arrival times are approximations only. Unusual road conditions, traffic and weather are beyond the control of TRAXX and may delay arrival times.
- TRAXX will invoice using its own invoice template. If the Customer must have a different format, then it must be arranged 30 days prior to the start of the first trip in this agreement at a cost.
- Unless otherwise specified in Schedule A, TRAXX shall invoice after the services have been completed and internally reconciled. Invoices are due upon receipt or in any event within 15 days (if Customers receive credit approval from TRAXX).
- Additional or supplemental charges not known on the date of invoicing will be invoiced as soon as received by TRAXX. Examples of these might be toll-fees, or other services arranged by TRAXX through a third-party.
- Prices noted above do not include GST or provincial sales taxes or other value-added taxes.
- TRAXX requests payment of invoice to be made by EFT or E-TRANSFER at ar@traxx.net. TRAXX reserves the right to require a pre-paid deposit for all or a portion of the anticipated charges to be paid 30 days prior to the start date of trip. Alternative payment methods are cheque or credit card (though TRAXX reserves the right to add credit card service fees to invoice for such payments by Customer).
- Interest shall accrue on all overdue invoices at the rate of twenty-four percent (24%) per annum from the due date until payment is received in full.
Unless otherwise specified in Schedule A, the following may be applied:
- Additional fuel surcharges may be applicable if the monthly average diesel price at the time of Service goes above quoted current price;
- A service fee of $500 will be charged in the event a day trip runs longer than allowable driver service hours (12 consecutive hours of Service in any day);
- If the trip calls for an overnight stay, a hotel room for the driver shall be arranged, paid for and provided by the Customer at no charge. If paid by Carrier, this cost will be added to the invoice to the Customer;
- Customer is directly responsible for paying all airport fees, highway tolls, parking costs, ferry crossing fees, park entry fees, alcohol service permits, if requested, or any other such fees incurred during the term of the Agreement;
- Driver gratuities are not included within the Contract Price and are at the option of the Customer directly with the Driver.
TRAXX shall carry and maintain adequate insurance in respect of each motorcoach used in the performance of Services at or greater than industry standards, including General Liability of $20,000,000 Per occurrence and $20,000,000 in aggregate, Automobile Liability of $20,000,000 and Excess Liability of $5,000.
Customer is required to provide a minimum of 14 days’ written notice prior to the trip’s start date to avoid cancellation fees. Should cancellation be made within 14 days of trip start date, a one-time charge of 40% of the quoted trip price will be payable by the Customer and if cancellation occurs within 48 hours of the trip start date, 100% of the trip price shall immediately become due and payable by Customer.
(This is only applicable for liquor licence utilization in Alberta) At TRAXX’s request, a damage deposit of $1,500.00 per motorcoach will be collected as security for damage to the motorcoach, including clean-up after use of beverages on the motorcoach. The damage deposit shall be returned if there is no damage or if excessive clean-up is not required. The damage deposit shall be applied in the event of damage or if excessive clean-up is required, however application of the damage deposit does not limit the Customer’s responsibility to pay the cost for repairing all damage to the motorcoach beyond reasonable wear and tear relating from the conduct or action of the passengers. Damage deposit will be required for all trips where alcohol is to be consumed on board the motorcoach. The Customer is solely responsible for obtaining and providing an alcohol permit or license to TRAXX in advance of the trip. Not all provinces or states allow consumption of alcohol and will not issue a license. The license is only valid for the region in which it is issued. Without a valid liquor licence, liquor cannot be consumed on the motorcoach.
- TRAXX reserves the right to request the Customer provide a valid credit card and guarantee the payment of any additional charges payable by the Customer under the Terms and Conditions of this Agreement.
- TRAXX reserves the right to refuse transportation to any person under the influence of intoxicating liquor or drugs or who are objectionable to other passengers. Passengers shall not interfere with the driver and staff of TRAXX in the discharge of their duties or tamper with any apparatus or appliance on the motorcoach.
- The Customer shall be responsible for the cost of repairing any damage to the motorcoach beyond reasonable wear and tear relating to the conduct or actions of passengers on the charter. Such repair expenses as and when determined shall be charged to the credit card or payment method provided by the Customer.
- The Customer shall have full responsibility for his or her personal property and baggage. TRAXX is not responsible for any luggage or personal items left either on the motorcoach or lost during the trip, and the Customer shall pay and rely on his or her own insurance to cover any losses of personal items that may occur.
- The Customer acknowledges and agrees that TRAXX shall not be responsible for any claims or damages incurred by the Customer or any of its passengers, including without limitation deposit or costs incurred by the Customer for passenger rooms, meals, or omissions arising from delays due to factors beyond the control of TRAXX, including delays arising from weather and/or mechanical failure and/or environmental protection performed by the motorcoach. In particular, TRAXX is not responsible for, and no compensation will be provided in the event of:
- Lateness of arrival due to road closure, accidents, motorcoach mechanical issues, heavier than anticipated traffic conditions or anything else beyond the control of TRAXX;
- Lost Customer luggage no matter how such loss occurs; or
- Any additional costs arising from any act of nature or items beyond the control of TRAXX.
- For added safety and security some motorcoaches are equipped with closed circuit video cameras which could take video of passengers onboarding and offloading the motorcoach (but not video of anyone aft of the driver inside the passenger seating area). By signing this Agreement Customer grants all necessary approvals and consents for the videotaping of passengers getting on and off the motorcoach or entering the driver area on the understanding and basis that such video footage will be used by TRAXX for increased safety and security purposes only.
Unless otherwise stated under the provincial‑specific provisions set forth below, the possession or consumption of alcohol on the motorcoach is prohibited unless the Customer has provided TRAXX with a valid permit (where applicable) prior to the commencement Services. TRAXX reserves the right to cancel or immediately discontinue the Services if alcohol is present onboard the motorcoach in violation of the terms set forth in this Agreement. Under no circumstances shall alcohol consumption be permitted on the motorcoach when minors are present.
- British Columbia
- In British Columbia, alcohol is prohibited on the motorcoach. TRAXX will refuse boarding to passengers carrying alcoholic beverages and may terminate the Services immediately if alcohol is found onboard the motorcoach. The Customer acknowledges this prohibition and understands that violations may result in immediate termination of Services.
- Alberta
- In Alberta, alcohol is prohibited on the motorcoach unless the Customer obtains and provides to TRAXX a valid liquor permit issued by the Alberta Gaming, Liquor & Cannabis Commission prior to the commencement of Services. All alcohol consumption must comply with the terms and conditions of such permit. Without a valid permit, the possession and consumption of alcohol on the motorcoach is strictly prohibited. TRAXX reserves the right to refuse boarding to passengers carrying alcoholic beverages without a valid permit and may terminate Services immediately if alcohol is found onboard without proper authorization. The Customer acknowledges this policy and understands that violations may result in immediate termination of Services.
- Minors (All Provinces)
- Notwithstanding anything to the contrary in this Agreement, alcohol consumption is prohibited when minors are present on the motorcoach, regardless of whether a permit has been issued (in Alberta).
- Force Majeure. Force majeure means any causes beyond the reasonable control of the party affected, such as but not limited to acts of God, acts of public enemy, insurrections, riots, strikes, lockouts, labour disputes, fires, explosions, floods, breakdowns, embargos, orders of civil or military authority, pandemics, or other causes of a similar nature, excluding, however, lack of finances. If because of an event of force majeure either party is unable to carry out its obligations under this Agreement (other than the obligation to pay monies due), the contractual obligation of the parties hereunder shall be suspended to the extent necessary and during its continuance. In the case a Customer’s trip is postponed or delayed due to an act of force majeure, all deposits paid by the Customer shall be retained by TRAXX and applied towards the trip when rescheduled and with additional charges to apply based on the market conditions and motorcoach availability at the time of the re-booking.
- Waiver of Consequential Damages. Customer agrees and acknowledges that TRAXX would not be providing Services to the Customer without a waiver of consequential damages, in that TRAXX shall not be responsible for any claims or damages incurred by the Customer or its passengers, including without limitation deposits or costs incurred by the Customer or its passengers for rooms, meals or other expenses arising from delays due to factors beyond the control of TRAXX, including delays arising from weather conditions and mechanical failure.
- Changes to Agreement. This Agreement and the Schedules attached hereto may only be amended or varied by written agreement between the parties, with the exception of the Terms and Conditions, which may be updated online from time to time.
- Laws of the Province of Alberta. This Agreement and the Schedules attached hereto shall be governed and construed in accordance with the Laws of the Provinces of Alberta and British Columbia and the Laws of Canada as applicable.
